Onshore Wind
We helped create the first ever large private equity backed onshore wind transaction and from there to today, both on a “per MW” and “number of projects” basis, we have successfully transacted on more onshore wind than any other adviser.
Augusta’s unrivalled success in wind industry M&A is built on international reach. With a 14 years engagement in onshore wind transactions, we have built a unique insight into a genuinely global renewable energy investor base.
Since those pioneering days we have sold or raised capital for over 5GW of onshore wind projects across Europe (as at March 31 2017). With detailed knowledge of the regulatory regimes as well as the local dynamics of individual markets, we have successfully closed equity investments and portfolio sales in all of the large and most of the smaller territories in Europe.
Whether a transaction involves a capital raising for development pipeline or the sale of a mature operating portfolio, the key strength which an adviser brings to a client is the ability to demonstrate and communicate stable, long term, equity value and defend that value through the due diligence process and detailed and complex negotiations with multiple buyers.
Offshore Wind
Augusta has been exclusively mandated on 22 offshore wind transactions in Europe, amounting to 8,865 GW and worked in all the major offshore wind jurisdictions, including the UK, Germany, the Netherlands and France.
Most of our transaction experience has been in the two most active markets: the UK and Germany. On both a “per MW” and a “number of projects” basis we have successfully transacted on more development stage offshore wind than any other adviser.
In less than 10 years, the offshore wind sector has evolved rapidly into a mature and profitable industry, with the scale and reliability to attract large institutional investors. Today offshore wind remains a fast-growing and increasingly global segment of the renewable energy industry, drawing on experience acquired from the North and Baltic Seas.
Augusta has successfully advised its clients on how to fund, finance and maximise the value of offshore wind projects, whether at the development, construction or operating phase. Effective advice in this large-scale but specialised sector entails a detailed understanding of complex interdependent elements: the legal and regulatory framework, technical analyses, supply chain provision, the project finance market and a changing equity investor landscape.
Hydro Power
Augusta has closed several transactions in the hydro power space both for run of river and reservoir hydro projects.
These include the RP Global portfolio of 230MW across Spain and Portugal with an innovative bond financing structure which was sold by way of a management buy-out to Cube Infrastructure Partners in 2009 and several confidential French and Norwegian hydro transactions that are undisclosed.
Augusta has also acted on capital raises for two large pumped storage projects in the UK.
In terms of volatility, due to the “battery like” nature of reservoir hydro, capex replacement and general investment duration, hydro is a very specific asset class that requires a dedicated approach. The transactions are much rarer due to their geological constraints and they are very popular with investors due to the enhanced risk/return metrics. Augusta has developed dedicated hydro knowledge and technology expertise from these transactions.
Solar
The European solar industry continues to grow at a vigorous pace, driven largely by the dramatic fall in LCOE over the last five years, which has seen solar PV achieve grid competitiveness for the first time.
In 2017 the European industry pushed through the level of 100GW installed capacity, and is expected to continue growing strongly into the 2020s.
Much of the M&A activity in solar PV represents the aggregation of smaller individual projects into larger centralised portfolios with the capacity to achieve economies of scale in both financing and O&M, and provide adequate scale to attract institutional investor interest. Augusta expects these themes to continue to drive solar M&A activity over the medium term.
Augusta has wide-ranging experience of solar transactions across Europe, including the disposal of a number of individual operating plants and portfolios in Spain and Italy; the disposal of a 200MW development pipeline in Italy; valuation and strategic advice on a 50MW portfolio of operating and development projects in Spain; strategic M&A advice on a multi-territory portfolio in France, Italy and Spain; a buy-side mandate for a 60MW operating portfolio in the UK.

Supply Chain
Augusta provides M&A and capital-raising advice to corporate clients in the supply chain, and we have successfully completed strategically important transactions in key segments of the wind industry including wind turbines, blades, foundations and offshore installation vessels.
To maximise value in the specialised field of wind industry supply chain M&A, Augusta is able to deploy a detailed understanding of the structure and dynamics of the industrial sector concerned. Having transacted in every renewable generation technology at a utility scale, Augusta understands the fundamental economic drivers of each and can better evaluate the growth prospects of the renewable assets on which the supply chain depends. Augusta provides M&A and corporate finance advice to its clients across Europe, raising equity and debt capital or selling projects and companies to maximise value for developers, IPPs and utilities.
We have worked extensively on each of the phases of renewable energy projects, including development, construction and operation.
Building or unlocking value at each of these phases requires very different qualities. For example the development experience of a management team, the contracting structures of projects that are ready-to-build, and the operation and maintenance frameworks and eventual re-powering potential of a mature operating portfolio.
Augusta routinely covers the project finance requirements of its clients on all projects. This can involve just advice on or the adaptation of the optimal debt structure in an M&A or capital raising process or can be a full debt raising process itself as a stand-alone mandate. Every M&A process involves an in depth modelling of the debt structure in order to properly value and model the project and therefore Augusta deals with debt advice and structuring on almost every transaction.
Power purchase agreements
As part of its capital raising or M&A mandates, Augusta has sourced and negotiated PPAs with a broad range of offtakers, from utilities through market-makers to corporates seeking green branding opportunities and industrials looking for long-term power contracts.
We have worked extensively on each of the phases of renewable energy projects, including development, construction and operation.
These services are most relevant in ex-subsidy markets such as the UK or markets where there is a substantial merchant component to a project’s power offtake that needs to be contracted in order to secure the best terms from equity and debt. This is a growing area for the sector and for Augusta and we have been leading the development of the industry away from subsidies and into the corporate power purchase market for a number of years.
We have advised on projects with corporate PPAs with over 1.5GW of capacity, including PPAs with Alcoa, Facebook, Google, Norsk Hydro and Tesco.
Specialised consultancy work on specific transactions
Augusta provides specialised consultancy services to its clients primarily geared to specific equity or debt financing issues, the assessment of commercial market strengths and the potential for growth through mergers and acquisitions or other corporate finance measures.
Our consultancy activities complement and extend the detailed technical and management consultancy services provided by well-established consultancy groups, with many of whom we cooperate closely to provide a complete picture of a market and its plausible points of entry.
In most cases such a consultancy mandate is the pre-cursor to a strategic sale mandate at a later date.
We have recently conducted a detailed European country-by-country market analysis of independent onshore wind developers for a Far Eastern client, assessing the relative attractions of different markets, the strengths of selected players and providing a range of potential acquisition candidates
We have also recently conducted a comprehensive analysis of the offshore wind installation vessel market, assessing the levels of profitability, supply and demand characteristics and trends, as well as leading market player evaluation for each individual segment of this specialised but growing market.

AIM er for tiden i investeringsfasen med sitt første fond, og fondet er allerede fullt finansiert fra vesteuropeiske institusjoner. Gjennom AIM gjennomfører vi både investeringene og den påfølgende forvaltningen selv, og AIM er FCA-godkjent for å drive investeringsvirksomhet.

Øystein kommer fra Vefsn i Nordland og er Managing Director i Augusta & Co Ltd. Han har jobbet i kraftbransjen siden 2007, tidligere som ansatt i Statkraft (2007-2010) og i Nord-Trøndelag Elektrisitetsverk (2011-2013) før han gikk over til rådgivningsselskapet Kraftutvikling hvor han har arbeidet med flere regionale kraftselskapers strategiske, operasjonelle og finansielle utfordringer innen vannkraft, vindkraft og nett. Med ledererfaring fra norske kraftselskaper og som rådgiver har Øystein hatt førstehånds befatning med veivalgene mange kraftselskaper står overfor.

Senior rådgiver
Leidulv har 40 års erfaring fra norsk kraftbransje hvor av tyve år som Energidirektør i TrønderEnergi (1992-2012). I tillegg til å ha ledet driften av TrønderEnergis vannkraftproduksjon på om lag 2800 GWh (blant annet Kraftverkene i Orklavassdraget), har han vært sentral i utviklingen av TrønderEnergis vindkraftportefølje. Leidulv har i tillegg verv som styreleder i Driva Kraftverk (655 GWh; TrønderEnergi og Istad) og som styremedlem i Kraftverkene i Orkla (1,25 TWh; Statkraft, TrønderEnergi, Eidsiva og NØK Andelsverk).
Vidar Grønnevik
Senior rådgiver
Vidar jobber med styrearbeid og ledelse i selskaper innen energi, transport og eiendom og har base i Florø. Han har tidligere hatt ulike lederstillinger i Statoil (1980-92). I den senere tid har han vært medlem og leder for en rekke komiteer og utvalg i offentlig og privat sektor og er for tiden medlem av Høyres sentralstyre. Vidar er utdannet siviløkonom fra Handelshøyskolen i Bergen.

Supply Chain
Augusta provides M&A and capital-raising advice to corporate clients in the supply chain, and we have successfully completed strategically important transactions in key segments of the wind industry including wind turbines, blades, foundations and offshore installation vessels.
To maximise value in the specialised field of wind industry supply chain M&A, Augusta is able to deploy a detailed understanding of the structure and dynamics of the industrial sector concerned. Having transacted in every renewable generation technology at a utility scale, Augusta understands the fundamental economic drivers of each and can better evaluate the growth prospects of the renewable assets on which the supply chain depends. Augusta provides M&A and corporate finance advice to its clients across Europe, raising equity and debt capital or selling projects and companies to maximise value for developers, IPPs and utilities.
We have worked extensively on each of the phases of renewable energy projects, including development, construction and operation.
Building or unlocking value at each of these phases requires very different qualities. For example the development experience of a management team, the contracting structures of projects that are ready-to-build, and the operation and maintenance frameworks and eventual re-powering potential of a mature operating portfolio.
Augusta routinely covers the project finance requirements of its clients on all projects. This can involve just advice on or the adaptation of the optimal debt structure in an M&A or capital raising process or can be a full debt raising process itself as a stand-alone mandate. Every M&A process involves an in depth modelling of the debt structure in order to properly value and model the project and therefore Augusta deals with debt advice and structuring on almost every transaction.
Power purchase agreements
As part of its capital raising or M&A mandates, Augusta has sourced and negotiated PPAs with a broad range of offtakers, from utilities through market-makers to corporates seeking green branding opportunities and industrials looking for long-term power contracts.
We have worked extensively on each of the phases of renewable energy projects, including development, construction and operation.
These services are most relevant in ex-subsidy markets such as the UK or markets where there is a substantial merchant component to a project’s power offtake that needs to be contracted in order to secure the best terms from equity and debt. This is a growing area for the sector and for Augusta and we have been leading the development of the industry away from subsidies and into the corporate power purchase market for a number of years.
We have advised on projects with corporate PPAs with over 1.5GW of capacity, including PPAs with Alcoa, Facebook, Google, Norsk Hydro and Tesco.
Specialised consultancy work on specific transactions
Augusta provides specialised consultancy services to its clients primarily geared to specific equity or debt financing issues, the assessment of commercial market strengths and the potential for growth through mergers and acquisitions or other corporate finance measures.
Our consultancy activities complement and extend the detailed technical and management consultancy services provided by well-established consultancy groups, with many of whom we cooperate closely to provide a complete picture of a market and its plausible points of entry.
In most cases such a consultancy mandate is the pre-cursor to a strategic sale mandate at a later date.
We have recently conducted a detailed European country-by-country market analysis of independent onshore wind developers for a Far Eastern client, assessing the relative attractions of different markets, the strengths of selected players and providing a range of potential acquisition candidates
We have also recently conducted a comprehensive analysis of the offshore wind installation vessel market, assessing the levels of profitability, supply and demand characteristics and trends, as well as leading market player evaluation for each individual segment of this specialised but growing market.

Vi driver Augusta Investment Management (AIM) gjennom en egen satsning som er helt skilt fra den tradisjonelle rådgivningsvirksomheten.
AIM er for tiden i investeringsfasen med sitt første fond, og fondet er allerede fullt finansiert fra vesteuropeiske institusjoner. Gjennom AIM gjennomfører vi både investeringene og den påfølgende forvaltningen selv, og AIM er FCA-godkjent for å drive investeringsvirksomhet.

Øystein kommer fra Vefsn i Nordland og er Managing Director i Augusta & Co Ltd. Han har jobbet i kraftbransjen siden 2007, tidligere som ansatt i Statkraft (2007-2010) og i Nord-Trøndelag Elektrisitetsverk (2011-2013) før han gikk over til rådgivningsselskapet Kraftutvikling hvor han har arbeidet med flere regionale kraftselskapers strategiske, operasjonelle og finansielle utfordringer innen vannkraft, vindkraft og nett. Med ledererfaring fra norske kraftselskaper og som rådgiver har Øystein hatt førstehånds befatning med veivalgene mange kraftselskaper står overfor.

Senior rådgiver
Leidulv har 40 års erfaring fra norsk kraftbransje hvor av tyve år som Energidirektør i TrønderEnergi (1992-2012). I tillegg til å ha ledet driften av TrønderEnergis vannkraftproduksjon på om lag 2800 GWh (blant annet Kraftverkene i Orklavassdraget), har han vært sentral i utviklingen av TrønderEnergis vindkraftportefølje. Leidulv har i tillegg verv som styreleder i Driva Kraftverk (655 GWh; TrønderEnergi og Istad) og som styremedlem i Kraftverkene i Orkla (1,25 TWh; Statkraft, TrønderEnergi, Eidsiva og NØK Andelsverk).
Vidar Grønnevik
Senior rådgiver
Vidar jobber med styrearbeid og ledelse i selskaper innen energi, transport og eiendom og har base i Florø. Han har tidligere hatt ulike lederstillinger i Statoil (1980-92). I den senere tid har han vært medlem og leder for en rekke komiteer og utvalg i offentlig og privat sektor og er for tiden medlem av Høyres sentralstyre. Vidar er utdannet siviløkonom fra Handelshøyskolen i Bergen.
